Terms of Service

These Terms of Service (“Terms”) govern access to and use of Solar B2B Directory (the “Service”). It is currently in soft-launch and active development, and is not yet operated by a registered corporate entity. The site does not directly process payments or store financial account information. See our Imprint for details on our current operating status. Where you access the Service as a business user offering software through a listing, Section 5 through Section 11 implement our commitments under Regulation (EU) 2019/1150 on promoting fairness and transparency for business users of online intermediation services (“P2B Regulation”).

1. Acceptance of Terms

By accessing or using the Service — including browsing listings, submitting a listing, claiming a listing, or purchasing featured placement — you agree to be bound by these Terms and our Privacy Policy. If you use the Service on behalf of a company, you represent that you have authority to bind that company to these Terms.

2. About the Service

Solar B2B Directory is an independent online directory and comparison resource that lists third-party B2B software for the solar industry across design, CRM & sales, field operations, permitting, and O&M categories. We are not a party to, and assume no responsibility for, any transaction, subscription, or contract entered into between a visitor and a listed software vendor.

3. Eligibility & Accounts

The Service is intended for business use. To claim or manage a listing you must be an authorized representative of the relevant vendor, verified via a one-time passcode sent to an email address on the vendor's own domain. You are responsible for maintaining the confidentiality of your login and for all activity under your account.

4. Vendor Listings & Content Accuracy

Vendors are solely responsible for the accuracy of information submitted for their listing, including pricing, features, integrations, and target audience. Solar B2B Directory may edit formatting for consistency, and may decline, edit, unpublish, or remove listings that are inaccurate, misleading, infringe third-party rights, or otherwise violate these Terms. Any vendor or visitor can request a correction or takedown as described in the Takedown & Claim Requests section of our Imprint.

5. Main Ranking Parameters & Transparency (P2B Art. 5)

In accordance with Article 5 of the P2B Regulation, we disclose the main parameters determining the ranking of listings within category pages, search results, and the homepage, and the relative importance of those parameters, in our Ranking Methodology page. In summary, ranking is determined by: (i) profile completeness, (ii) verified reviews and ratings, (iii) the depth of documented features and integrations, and (iv) whether the vendor has purchased optional paid placement. Paid placement is the only parameter a vendor can influence through direct remuneration to Solar B2B Directory; it affects visibility and position only and never alters a listing's rating, reviews, or factual claims. We do not offer any differentiated main ranking parameter that is not disclosed in the Ranking Methodology page.

7. Differentiated Treatment (P2B Art. 7)

Solar B2B Directory does not offer its own competing software products through the Service, and does not give any listing differentiated treatment through means not made available to other business users, other than the disclosed paid placement described in Section 6. If this ever changes, we will describe any differentiated treatment here and in our Ranking Methodology page.

8. Access to Data Generated Through Use (P2B Art. 9)

Vendors with a claimed listing can access aggregate usage data their own listing generates through the Service — including listing page views and outbound website clicks — from their dashboard. We do not sell this vendor-specific performance data to third parties. Aggregated, de-identified statistics across the directory may be used to produce industry reports.

9. Restriction, Suspension & Termination of Listings (P2B Art. 4)

If we decide to restrict, suspend, or remove a specific listing, we will provide the affected vendor with a statement of reasons on a durable medium (typically email) at least 15 days before the decision takes effect, or at least 30 days where the decision is a full termination of an established vendor relationship. Shorter or immediate notice may apply where we are subject to a legal or regulatory obligation requiring immediate action, or where a vendor has repeatedly infringed these Terms. Vendors may appeal a decision through our internal complaint-handling process described in Section 10.

10. Internal Complaint-Handling System (P2B Art. 11)

Business users may lodge a complaint, free of charge, about any alleged non-compliance with these Terms, the operation of the Service, or a ranking or placement decision, by emailing contact@solar-directory.com with the subject line “P2B Complaint.” We acknowledge complaints within 5 business days and aim to provide a substantive response within 15 business days. We process complaints promptly, proportionately, and treat information exchanged in confidence, and we publish aggregate information on the handling of complaints upon request as described in Art. 11(6) P2B Regulation.

11. Mediation (P2B Art. 12)

Where a dispute cannot be resolved through our internal complaint-handling system, business users may seek to resolve the dispute out of court through mediation. We are willing to engage, in good faith, with either of the following mediators: the WIPO Arbitration and Mediation Center, or the International Centre for Dispute Resolution (ICDR). Each party bears its own costs of mediation in reasonable proportion, consistent with Art. 12 of the P2B Regulation. Mediation does not affect either party's right to pursue judicial proceedings.

12. Intellectual Property

The Service, including its design, text, and compiled listing data, is maintained by the Solar B2B Directory project and protected by applicable intellectual property laws. Vendor trademarks, logos, and product names remain the property of their respective owners and are used for identification purposes only.

13. Disclaimers & No Endorsement

Listings, ratings, and comparisons are provided for informational purposes only and do not constitute an endorsement or recommendation by Solar B2B Directory. The Service is provided “as is” without warranties of any kind, express or implied, including accuracy, completeness, or fitness for a particular purpose. You are responsible for conducting your own due diligence before purchasing any listed software.

14. Limitation of Liability

To the maximum extent permitted by law, Solar B2B Directory, its maintainers, and contributors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, arising from your use of the Service or any transaction with a listed vendor. Nothing in these Terms limits liability that cannot be excluded under applicable law.

15. Indemnification

You agree to indemnify and hold Solar B2B Directory and its maintainers harmless from any claims, damages, or expenses (including reasonable legal fees) arising from your listing content, your breach of these Terms, or your violation of any law or third-party right.

16. Applicable Law & Dispute Resolution

As Solar B2B Directory is not currently operated by a registered corporate entity, these Terms do not designate a specific governing jurisdiction. Where a dispute cannot be resolved through the internal complaint-handling and mediation process described above, business users retain any mandatory protections available under the law of their own country of establishment, including their rights under the P2B Regulation, and the right to bring proceedings before the competent courts of that jurisdiction.

17. Changes to These Terms

We may update these Terms from time to time. Material changes affecting business users will be notified at least 15 days in advance by email or dashboard notice, consistent with Art. 3 of the P2B Regulation, before the changes take effect. Continued use of the Service after that date constitutes acceptance of the revised Terms.
